Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and WAK Technologies LLC ("WAK Life," "we," "us," or "our") and govern your access to and use of the WAK Life web application, mobile applications, websites, APIs, and related features and content (collectively, the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and Acceptance
You must be at least 18 years old and have the legal capacity to enter into a contract. By using the Service, you represent and warrant that you meet these requirements and that all information you provide is accurate. If you use the Service on behalf of a business or other organization, you represent that you are authorized to bind that entity, and "you" includes that entity.
2. Definitions
- "User Content" means any data you submit or generate in the Service, including personal and business financial records.
- "Account Owner" means the person or entity that registers an account.
- "Authorized User" means a person the Account Owner permits to access a shared account.
- "App Stores" means the Apple App Store and Google Play.
3. The Service - and What It Is Not
WAK Life provides digital tools for personal and business finance, including budgeting, expense and income tracking, inventory and point-of-sale records, invoicing, tax estimates, reporting, and AI-assisted insights.
WAK Life is a software tool, not a financial institution. We are not a bank, money transmitter, payment processor, lender, broker-dealer, investment adviser, accountant, auditor, or tax preparer. The Service records and organizes information you enter; it does not itself move, hold, or transfer funds. Any actual payments are processed by third parties (see Section 6).
4. Account Registration and Security
- Provide accurate, current, and complete registration information and keep it updated.
- Keep your credentials confidential and do not share your account.
- Notify us immediately at support@waklife.com of any unauthorized access or security breach.
- You are responsible for all activity under your account, except to the extent caused by our breach of these Terms or applicable law.
5. Shared Accounts and Authorized Users
If you invite or permit Authorized Users to access your account, you are responsible for their actions, for ensuring they comply with these Terms, and for managing their access. The Account Owner controls the account's data and is responsible for any User Content added by Authorized Users.
6. Subscriptions, Billing, and Renewals
- Plans and payment. Certain features require a paid subscription. Web subscriptions are billed through Stripe; mobile subscriptions are billed through the applicable App Store.
- Auto-renewal. Subscriptions automatically renew for successive periods at the then-current price until cancelled. You authorize us (or the App Store) to charge your payment method on each renewal.
- Free trials. If a free trial is offered, it converts to a paid subscription at the end of the trial unless cancelled before the trial ends.
- Cancellation. You may cancel at any time. Web subscriptions are cancelled in your account settings; App Store subscriptions must be cancelled through your Apple or Google account. Cancellation stops future renewals; access continues until the end of the current paid period.
- Price changes. We may change prices or plan features; we will give reasonable prior notice, and changes apply to the next renewal.
- Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.
7. Refunds
Except where required by law, fees are non-refundable and there are no refunds or credits for partial periods. Purchases made through an App Store are subject to that store's refund policies, which you must pursue directly with Apple or Google.
8. App Store Terms
If you download our app from an App Store, you also agree to that store's terms, and the following apply:
- These Terms are between you and WAK Life only, not with Apple or Google, who are not responsible for the Service or its support.
- Your license to use the app is a limited, non-transferable license to use it on devices you own or control, as permitted by the applicable App Store usage rules.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as a user who has accepted them.
- You represent that you are not located in an embargoed country or on a prohibited-parties list, consistent with Section 21.
9. Your Content and Ownership
You retain all ownership of your User Content. You grant WAK Life a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, back up, and display your User Content solely to operate, secure, support, and improve the Service and to provide it to you. We do not claim ownership of your data and do not sell your personal information. You are responsible for the accuracy, quality, and legality of your User Content and for having the rights necessary to submit it.
10. Business Use: Invoices, Receipts, and Tax Estimates
The Service can generate invoices, receipts, reports, and tax estimates from the data you enter. These outputs are your responsibility. You are solely responsible for their accuracy and legal compliance (including invoicing, VAT/sales tax, consumer, and record-keeping requirements) and for any information you record about your customers, employees, or suppliers, including having a lawful basis and providing any required notices. Tax estimates and financial figures are informational only and are not a substitute for advice from a qualified professional or filings with a tax authority.
11. AI Features
The Service includes AI-assisted features that generate summaries, categorizations, and answers about your data. AI outputs may be inaccurate, incomplete, or out of date, are provided "as is" for informational purposes, and are not professional advice. You are responsible for reviewing and verifying any AI output before relying on it.
12. Acceptable Use
You agree not to:
- Access accounts, data, or systems without authorization, or attempt to breach security or authentication;
- Reverse engineer, decompile, copy, or create derivative works of the Service, except as permitted by law;
- Upload malware or harmful code, or use bots, scrapers, or automated means to access or extract data without our permission;
- Use the Service for fraudulent, deceptive, money-laundering, or unlawful purposes;
- Interfere with or disrupt the integrity, performance, or availability of the Service;
- Infringe others' intellectual property or privacy rights, or enter data you lack the right to use;
- Resell, sublicense, or provide the Service to third parties except as expressly permitted.
We may investigate and take appropriate action, including suspension or termination, for violations.
13. Intellectual Property
The Service, including all software, source code, design, branding, trademarks, graphics, and content (excluding your User Content), is owned by WAK Life or its licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. No rights are granted except as expressly stated.
14. Feedback
If you send us suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without obligation or compensation to you.
15. Third-Party Services
The Service integrates with third parties (for example, hosting, email, payment, and AI providers). We are not responsible for third-party services, and your use of them is subject to their terms and policies.
16. Financial, Tax, and Legal Disclaimer
WAK Life provides organizational and informational tools only and does not provide professional financial, investment, tax, legal, or accounting advice. Projections, insights, and recommendations are automated and general in nature. You are solely responsible for your financial and business decisions and should consult a qualified professional for advice specific to your situation.
17. Availability, Changes, and Beta Features
We aim for reliable access but do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We may add, modify, suspend, or discontinue features at any time. Features labeled beta, preview, or experimental are provided "as is," may be changed or withdrawn, and are excluded from any service commitments.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DATA WILL ALWAYS BE ACCURATE OR PRESERVED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAK LIFE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
20. Indemnification
You agree to defend, indemnify, and hold harmless WAK Life and its affiliates and personnel from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Service, your violation of these Terms or applicable law, or your handling of third parties' personal data through the business features.
21. Export Controls and Sanctions
You represent that you are not located in, and will not use the Service from, a country or region subject to comprehensive sanctions, and that you are not a person with whom dealings are prohibited under applicable export-control or sanctions laws.
22. Suspension and Termination
We may suspend or terminate your access if you violate these Terms, create risk or legal exposure, or fail to pay fees. You may stop using the Service and delete your account at any time. On termination, your right to use the Service ends. We will provide a reasonable opportunity to export your data before deletion, after which your data will be handled as described in the Privacy Policy. Sections that by their nature should survive (including Sections 9, 13, 14, 16, 18, 19, 20, 23, and 24) will survive termination.
23. Governing Law and Dispute Resolution
International service. WAK Life is offered to users worldwide, and these Terms apply wherever you access the Service. Where the mandatory consumer-protection or data-protection laws of your country of residence grant you rights that cannot be waived by contract, nothing in these Terms limits those rights.
Governing law. These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-law rules, and without displacing the mandatory local rights described above.
Informal resolution. Before starting any formal proceeding, you agree to contact us at support@waklife.com and attempt to resolve the dispute informally for at least 30 days.
Arbitration and courts. Except for claims that may be brought in a small-claims forum, any dispute not resolved informally will be finally settled by binding individual arbitration seated in Thurston County, Washington, United States under the applicable arbitration rules there; alternatively, the state and federal courts located in Thurston County, Washington will have jurisdiction where arbitration does not apply, subject to any mandatory right you have to bring proceedings in your home country.
Class-action waiver. Disputes will be conducted only on an individual basis and not as a class, consolidated, or representative action, to the extent permitted by law.
Time to bring a claim. Any claim must be brought within one (1) year after it arises, to the extent permitted by law.
24. General
- Force majeure. We are not liable for failures or delays caused by events beyond our reasonable control.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision is unenforceable, the rest remain in effect and the provision will be limited to the minimum extent necessary.
- No waiver. Our failure to enforce a provision is not a waiver.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and WAK Life regarding the Service.
- Notices and electronic communications. You consent to receive communications from us electronically; we may provide notices via the app, email, or by posting.
- Headings are for convenience only.
25. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide additional notice through the app or by email. Your continued use of the Service after an update takes effect constitutes acceptance of the revised Terms.
